Terms of Service

1. Acceptance of Terms

By accessing or using Sentinel Gateway (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Sentinel Gateway ("Company", "we", "us", or "our").

2. Description of Service

Sentinel Gateway provides an AI model routing, caching, and governance platform that proxies requests to third-party large language model (LLM) providers. The Service does not itself host or operate any foundational AI model; it acts solely as an authenticated intermediary.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract in your jurisdiction to use the Service. By creating an account, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features you must register for an account. You agree to:

• Provide accurate and complete registration information.
• Keep your password and API keys confidential and secure.
• Notify us immediately of any unauthorized use of your account.
• Accept sole responsibility for all activity that occurs under your account.

5. Acceptable Use

You may not use the Service to:

• Violate any applicable law or regulation, including export control laws.
• Generate, transmit, or store content that is unlawful, harmful, hateful, or defamatory.
• Attempt to circumvent rate limits, quotas, or access controls.
• Reverse-engineer or decompile any part of the Service.
• Resell or sublicense access to the Service without our written consent.
• Use the Service to train competing AI models without our written consent.

6. Fees and Billing

Certain plans require payment of fees. By selecting a paid plan you authorise us to charge your payment method on a recurring basis in accordance with the selected billing cycle. All fees are exclusive of applicable taxes. We reserve the right to change pricing with 30 days' notice published on our website or sent to your registered email address.

7. Free-Tier Limitations

Developer (Free) accounts are subject to a monthly token quota as published in the pricing page. Exceeding the quota will result in request throttling until the quota resets at the start of the next calendar month. Free-tier accounts are intended for evaluation and non-commercial use.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of the Company. You retain ownership of any data or prompts you submit through the Service.

9. Third-Party Services

The Service routes traffic to third-party LLM providers (e.g. OpenAI, Anthropic). Your use of those services is subject to their respective terms of service and privacy policies. We are not responsible for the output, availability, or pricing of third-party providers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, judgments, costs, and expenses arising out of your violation of these Terms or your use of the Service.

13. Termination

We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated, without regard to its conflict-of-law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice in the dashboard. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
